By using TaskGuild, you agree to these terms of service. These terms constitute a legally binding agreement between you and TaskGuild.
Service Description
TaskGuild Platform
TaskGuild is a comprehensive SaaS platform designed for service businesses. The platform includes the following main features:
- • Booking system: Online booking and scheduling
- • Customer management: CRM and customer portals
- • Billing: Automated invoicing and payments
- • Communication: SMS, email and chat features
- • Reporting: Analytics and performance reports
- • AI assistant: 24/7 intelligent customer service (premium)
Subscription Model
Pricing:
- • Starter: $79/month
- • Professional: $149/month
- • Enterprise: $299/month
Billing:
- • Monthly billing
- • Automatic renewal
- • 14 days free trial
- • Cancel anytime
User Responsibilities and Obligations
You must:
- • Provide correct and updated information
- • Use the platform in accordance with laws
- • Respect others' rights
- • Keep account information secure
- • Pay for services on time
- • Report security issues
You must NOT:
- • Use the platform for illegal activities
- • Distribute malicious software
- • Send spam or unwanted communication
- • Attempt to hack or compromise the system
- • Share account information with others
- • Overload the system with unnecessary requests
Service Level Agreements
Uptime and Availability
Guarantee:
- • 99.9% uptime per month
- • 99.5% uptime annually
- • Planned maintenance only during low-traffic periods
Exclusions:
- • Planned maintenance
- • Force majeure events
- • Third-party services
- • User error or misuse
Support and Response
Termination and Cancellation
You can cancel:
- • Anytime via account settings
- • No binding period or penalty fees
- • Data exported upon request
- • Billing stops immediately
We can terminate:
- • For breach of terms
- • For non-payment
- • For illegal activity
- • With 30 days notice
Important about data:
Upon cancellation, you have 90 days to export your data. After this period, all data will be deleted in accordance with our privacy policy.
Partner Program Terms
Beta Partner Program Agreement
Special terms that apply to participants in our Beta Partner Program
⚠️ IMPORTANT LEGAL NOTICE
As a Beta Partner, you acknowledge that you are testing pre-release software. By participating, you accept all risks associated with using beta software.
Business Requirements:
- • Legitimate Business Structure: Must have registered business (LLC, corporation, etc.) or valid business license
- • Tax Compliance: Valid tax ID (EIN in US, equivalent internationally)
- • Payment Processing Eligible: Must legally accept customer payments in jurisdiction
- • Active Operations: Established service business with paying customers
Partner Obligations:
- • Provide honest feedback about software functionality and user experience
- • Report bugs and issues through designated channels
- • Participate in monthly feedback surveys or calls
- • Allow TaskGuild to use anonymized business data for improvement purposes
- • Not disclose confidential information about TaskGuild's beta features
TaskGuild's Obligations:
- • Provide 12 months of free Enterprise plan access ($1,788 value)
- • Offer priority support and direct access to development team
- • Consider partner feedback in product roadmap decisions
- • Provide marketing materials featuring partner success stories
Limitation of Liability
CRITICAL LEGAL PROTECTION
These limitations are designed to protect both parties in accordance with U.S. law
NO WARRANTIES WHATSOEVER
TaskGuild provides all services "AS IS" and "AS AVAILABLE" without any warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
TaskGuild Shall Not Be Liable For:
- • Direct Damages: Any direct financial losses, business interruption, or data loss
- • Indirect Damages: Lost profits, lost revenue, lost business opportunities
- • Consequential Damages: Any damages that are a consequence of using TaskGuild
- • Incidental Damages: Any incidental costs or expenses related to service issues
- • Punitive Damages: Any punitive or exemplary damages
- • Third-Party Claims: Claims brought by your customers, employees, or partners
- • Force Majeure: Natural disasters, wars, pandemics, or other uncontrollable events
- • Beta Software Issues: Any problems with pre-release or beta features
MAXIMUM LIABILITY LIMITATION
ABSOLUTE MAXIMUM LIABILITY: In no event shall TaskGuild's total liability exceed the lesser of (a) $100, or (b) the total amount you have paid to TaskGuild in the 12 months preceding the claim. This limit applies regardless of the cause of action or theory of liability.
Indemnification Agreement
You agree to protect TaskGuild from legal claims
You agree to indemnify, defend, and hold harmless TaskGuild, its officers, directors, employees, and agents from and against any and all claims, demands, actions, suits, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- • Your use of TaskGuild services
- • Your violation of these Terms of Service
- • Your violation of any third-party rights
- • Any content you submit or make available through TaskGuild
- • Your business activities and customer interactions
- • Any claims brought by your customers, employees, or partners
- • Any Beta Partner Program activities or representations

- • Any testimonials or case studies are examples only, not guarantees
- • Past performance does not predict future results
SOFTWARE LIMITATIONS
- • TaskGuild may have bugs, errors, or service interruptions
- • Data may be lost due to technical issues, user error, or security breaches
- • Third-party integrations may fail or change without notice
- • Mobile apps and features may not work on all devices
- • AI features are experimental and may provide inaccurate information
REGULATORY COMPLIANCE
- • You are responsible for complying with all applicable laws and regulations
- • TaskGuild does not provide legal, tax, or financial advice
- • You must obtain necessary licenses and permits for your business activities
- • Data privacy and protection requirements vary by jurisdiction
- • Employment laws and worker classification rules apply to you, not TaskGuild
Beta Software Additional Risks
Special warnings for Beta Partner Program participants
BETA SOFTWARE WARNING
As a Beta Partner, you acknowledge and accept that:
- • Beta software is pre-release and may contain serious bugs or security vulnerabilities
- • Features may change, be removed, or break without notice
- • Your business data may be lost or corrupted during testing
- • Customer data handled through beta features may be at higher risk
- • TaskGuild provides no warranties for beta software stability or security
- • You test at your own risk and assume all associated liabilities
Governing Law and Dispute Resolution
MANDATORY ARBITRATION AGREEMENT
All disputes must be resolved through binding arbitration, not court litigation
BINDING ARBITRATION REQUIRED
Any dispute arising out of or relating to these Terms, the TaskGuild service, or the Beta Partner Program shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
- • No Court Trials: You waive your right to a trial by jury
- • No Class Actions: Claims must be brought individually, not as class actions
- • Arbitrator's Decision: The arbitrator's award is final and binding
- • Costs: Each party bears their own costs and attorney's fees
Class Action Waiver
You explicitly waive the right to participate in class action lawsuits
You waive any right to participate in any class action lawsuit against TaskGuild.All claims must be brought individually in arbitration. You agree that no arbitration proceeding shall be consolidated with any other person's arbitration proceeding.
Choice of Law
Delaware law governs all disputes, chosen for its business-friendly courts

- • Venue: Any legal proceedings must be brought in Delaware state or federal courts
- • Business Choice: Delaware law is chosen for its predictable and business-friendly legal environment
- • No Conflict: Delaware choice of law provision prevails over any conflicting provisions
Force Majeure Protection
TaskGuild is not liable for events beyond our control
TaskGuild shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, pandemic, war, terrorism, riot, strike, lockout, embargo, acts of God, or any other cause beyond our reasonable control.
Service Interruptions: During force majeure events, we may suspend services without liability, and you will not be entitled to refunds or credits.
